1. Acceptance of Terms

By accessing and using LandSearch.ng ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service. LandSearch.ng reserves the right to modify these terms at any time without prior notice.

2. Nature of Service

LandSearch.ng provides land verification and property due diligence services based on publicly available information from Lagos land registries and government databases. Our services include:

  • Registry verification checks
  • Title document analysis
  • Property ownership verification
  • Legal risk assessment reports

IMPORTANT: LandSearch.ng is NOT a substitute for independent legal counsel. Our reports are informational tools only and do not constitute legal advice.

3. Limitations of Liability

3.1 No Warranties: LandSearch.ng provides services on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding:

  • Accuracy, completeness, or timeliness of information
  • Absence of errors or omissions in our reports
  • Fitness for any particular purpose
  • Merchantability or non-infringement
  • Uninterrupted or error-free service
  • Security or freedom from viruses or harmful components

3.2 Data Limitations: Government databases may contain incomplete, outdated, or inaccurate information. LandSearch.ng is not liable for:

  • Errors or omissions in government records
  • Delays in information updates or system maintenance
  • Fraudulent documents not detectable through standard verification
  • Undisclosed encumbrances, liens, or title defects
  • Third-party data provider errors or system failures
  • Changes in property status after report generation
  • Forgeries or falsified documents

3.3 No Liability for Consequential Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, LandSearch.ng, its owners, officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or business interruption
  • Property transaction losses or failed transactions
  • Legal fees or litigation costs
  • Emotional distress or reputational harm
  • Any other damages arising from use or inability to use the Service

3.4 Liability Cap: Our total cumulative liability for all claims arising from or related to the Service shall not exceed the amount you paid to LandSearch.ng for the specific service giving rise to the claim in the 12 months preceding the claim, or NGN 50,000 (whichever is less). This cap applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).

3.5 Time Limitation: Any claim against LandSearch.ng must be brought within one (1) year of the date the claim arose, or it shall be forever barred.

3.6 Force Majeure: LandSearch.ng shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, war, terrorism, internet failures, or third-party service disruptions.

4. User Responsibilities

4.1 Accurate Information: You agree to provide accurate, complete, and current information when submitting search requests. False or misleading information may result in service termination and legal action.

4.2 Permitted Use: You may only use LandSearch.ng services for legitimate property due diligence purposes. Prohibited uses include:

  • Fraudulent property transactions
  • Identity theft or fraud
  • Unauthorized property access or claims
  • Money laundering or illegal financial activities
  • Harassment or threats related to property matters

4.3 Professional Counsel: You acknowledge that you should consult with licensed real estate lawyers, surveyors, and financial advisors before making property decisions based on our reports.

5. Intellectual Property

All reports, analyses, and content generated by LandSearch.ng are proprietary and protected by copyright. You may use reports for your personal property transaction purposes only. Reproduction, distribution, or commercial use without written permission is prohibited.

6. Payment Terms

6.1 Pricing: Service fees are displayed at the time of purchase and are non-refundable except where required by law.

6.2 Payment Processing: Payments are processed through secure third-party payment providers. By submitting payment, you authorize the transaction.

6.3 Invoice Records: LandSearch.ng may contact you via email for payment confirmations and service delivery.

7. Indemnification

7.1 User Indemnification: You agree to indemnify, defend, and hold harmless LandSearch.ng, its owners, officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, demands, actions, losses, damages, costs, expenses (including reasonable attorneys' fees), judgments, and liabilities arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms of Service
  • Your violation of any law, regulation, or third-party right
  • Your reliance on any report or information provided by LandSearch.ng
  • Any property transaction or decision made based on our reports
  • Unauthorized access to property through information obtained from our Service
  • Any content, data, or information you submit or transmit through the Service
  • Your infringement of intellectual property or other rights

7.2 Defense Obligations: LandSearch.ng reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with LandSearch.ng in the defense of any such claim.

7.3 No Admission: This indemnification obligation survives termination of these Terms and your use of the Service.

8. Termination

LandSearch.ng reserves the right to suspend or terminate your access immediately, without notice, for violations of these terms, including but not limited to fraudulent activity, misuse of reports, or illegal use of the Service.

9. Dispute Resolution

9.1 Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

9.2 Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Lagos State, Nigeria, and you consent to the personal jurisdiction of such courts.

9.3 Arbitration: Except for claims seeking injunctive or equitable relief, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. The arbitration shall be conducted in Lagos, Nigeria, in English, and the arbitrator's decision shall be final and binding.

9.4 Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

9.5 Limitation Period: Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

10. Service Modifications and Availability

10.1 Right to Modify: LandSearch.ng reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may impose limits on certain features or restrict access to parts or all of the Service without liability.

10.2 No Guarantee of Availability: We do not guarantee that the Service will be available at all times or that access will be uninterrupted. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

10.3 Updates: We may update the Service, including these Terms, at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Third-Party Services and Links

11.1 Third-Party Services: The Service may integrate with or link to third-party services, including payment processors, government databases, and other service providers. LandSearch.ng is not responsible for the availability, accuracy, or practices of third-party services.

11.2 No Endorsement: Links to third-party websites or services do not constitute endorsement by LandSearch.ng. We are not liable for any content, products, or services provided by third parties.

11.3 Third-Party Terms: Your use of third-party services is subject to their respective terms and conditions. LandSearch.ng is not responsible for any disputes between you and third-party service providers.

12. No Legal, Financial, or Professional Advice

IMPORTANT DISCLAIMER: LandSearch.ng provides informational reports only. Our Service does NOT constitute:

  • Legal advice or legal representation
  • Financial advice or investment recommendations
  • Real estate brokerage or agency services
  • Surveying or land measurement services
  • Professional engineering or architectural services

You must consult with qualified professionals (lawyers, surveyors, financial advisors) before making any property-related decisions. LandSearch.ng disclaims all responsibility for decisions made based on our reports.

13. Severability and Waiver

13.1 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13.2 Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure by LandSearch.ng to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms of Service, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and LandSearch.ng regarding your use of the Service and supersede all prior agreements, understandings, or communications, whether written or oral.
